Creditors Voluntary Liquidation · Stourbridge

Close your insolvent company cleanly and take back control

If your company can no longer pay its debts, a CVL is usually the most straightforward and controlled way to close it down. You choose to act – and that choice matters.

What is a Creditors' Voluntary Liquidation?

A CVL is a formal insolvency procedure that allows the directors of an insolvent limited company to bring it to an orderly close. Unlike compulsory liquidation – where a creditor forces the issue through the courts – a CVL puts you in control. You appoint a licensed insolvency practitioner, who takes over the company, realises its assets, pays creditors as far as possible, and formally dissolves the business.

The moment the process begins, creditor pressure stops. Phone calls, letters, enforcement officers, winding-up petitions – all of it ceases. It gives directors the space to breathe and the clarity to move forward.

How the CVL Process Works

The process is more straightforward than most directors expect. Here is how it works from first call to dissolution.
  1. Free Clarity Consultation

We review your situation, explain your options, and confirm whether CVL is the right route. No obligation, no fee, and everything we discuss is strictly confidential. Most directors tell us they wish they had made this call sooner.

  2. Director resolution

The directors pass a formal resolution to wind up the company and appoint the licensed insolvency practitioner as liquidator. We handle all the paperwork – you don’t need to navigate the legal formalities yourself.

  3. Creditors' meeting

Creditors are notified and given the opportunity to consider the liquidation. In practice, the vast majority of CVLs proceed without significant creditor objection.

  4. Asset realisation

The appointed practitioner takes control of the company’s assets, realises their value, and distributes funds to creditors in the order prescribed by insolvency law.

  5. Director conduct review

As part of the process, the appointed practitioner is required to report on directors’ conduct to the Insolvency Service. For directors who have acted responsibly, this is a formality. We will advise you on this clearly during the Clarity Consultation so there are no surprises.

  6. Company dissolution

Once the process is complete, the company is formally dissolved at Companies House. You are free to move forward – including, in most cases, setting up a new company and trading again. Most directors are surprised by how quickly that moment arrives, and how different life feels when the pressure has gone.

CVL Costs and Fees

Fees are fixed and transparent with no hidden extras. The cost of a CVL varies depending on the complexity of the case – the number of creditors, the nature of the assets, and whether any complications arise – but you will always know the fee before you commit.

In many cases the fee is paid from the company’s assets, meaning there is no direct out-of-pocket cost to the director. Where assets are insufficient, we will explain the options available to you clearly. There are no surprises.

Fee summary band:

  • Fixed fees – You know the full cost before committing. No surprises, no hidden extras.

  • Often asset-funded – In many cases fees are paid from company assets – no direct cost to the director.

  • Free Clarity Consultation – The first conversation costs nothing. Everything we discuss is confidential.

CVL and Your Personal Position

One of the most important questions directors ask is whether a CVL puts their personal assets at risk. The answer, for the vast majority of directors facing genuine business failure, is no.

A limited company’s debts are legally separate from the director’s personal finances. Your home, savings, and personal assets are only at risk if you have signed personal guarantees, or if the conduct review identifies wrongful or fraudulent trading. We will give you a clear and honest picture of your personal exposure from the very first call – so you know exactly where you stand before making any decisions.

Can I Start a New Company After CVL?

In most cases, yes. There is no automatic bar on acting as a director after a CVL. The exception is if the conduct review results in a director disqualification order – which is rare for directors who have acted honestly and in good faith. We will advise you specifically on this during your Clarity Consultation.

CVL vs Compulsory Liquidation

In a CVL, you choose to act – you control the timing and appoint the liquidator. In compulsory liquidation, a creditor petitions the court to wind up your company, the court appoints an Official Receiver, and you lose control of the process entirely. Acting voluntarily through a CVL almost always produces a better outcome for directors – more control, less cost, and a cleaner ending.

  • Fixed Fees

You know the full cost before committing. No surprises, no hidden extras.

  • Often asset-funded

In many cases the fee is paid from the asset sale proceeds — no direct cost to the directors.

CVL FAQs

  • Can I start a new company after a CVL?

In most cases, yes. There is no automatic bar on acting as a director after a CVL. The exception is if the conduct review results in a director disqualification order, which is rare for directors who have acted honestly and in good faith. We will advise you specifically on this during your Clarity Consultation.

  • What happens to my Bounce Back Loan in a CVL?

A Bounce Back Loan is an unsecured company debt. In a CVL it is treated like any other creditor claim and written off once the liquidation is complete, provided the funds were not misused. If there are any concerns about how the loan was used, we will discuss this with you clearly before proceeding – there will be no surprises.

  • How long does a CVL take?

From the point of instruction, the formal process typically takes between two and four weeks to initiate – and the pressure on directors ceases as soon as the process begins. The full liquidation – asset realisation, creditor distribution, and dissolution – can take six to twelve months depending on complexity, but that runs in the background and does not affect you day to day.

  • Are my personal assets at risk in a CVL?

A limited company’s debts are legally separate from your personal finances. Your personal assets are only at risk if you have signed personal guarantees, or if the conduct review identifies wrongful or fraudulent trading. For the vast majority of directors facing genuine business failure, personal assets are protected. We will give you a clear and honest picture of your personal exposure from the very first call.

  • What is the difference between CVL and compulsory liquidation?

In a CVL, you choose to act – you control the timing and appoint the liquidator. In compulsory liquidation, a creditor petitions the court to wind up your company, the court appoints an Official Receiver, and you lose control of the process entirely. Acting voluntarily through a CVL almost always produces a better outcome for directors.

  • Is CVL the only option? Could administration or a CVA be better?

Not always. If the underlying business is still profitable but burdened by historic debt, a Company Voluntary Arrangement or pre-pack administration may allow you to preserve the business rather than close it. The Clarity Consultation is the right place to explore this – we will give you an honest assessment of all available options, not just CVL.
